Terms & Conditions (Service Terms)

These Terms & Conditions (“Terms”) govern your access to and use of shanghaiexpress.ca (the “Website”) and any services requested from Shanghai Express Inc. (“Shanghai Express”, “we”, “us”, “our”), including freight forwarding, parcel forwarding, consolidation, receiving, warehousing, packing, labeling, and related logistics support (collectively, the “Services”).

By using the Website or requesting Services, you agree to these Terms.

1) Eligibility and Use of the Website

You must be able to form a legally binding agreement to use the Website or request Services. You agree to provide accurate, current, and complete information when submitting inquiries, shipping details, or documentation.

2) Scope of Services

Shanghai Express provides logistics coordination and forwarding support. Unless explicitly agreed in writing, we do not manufacture, sell, or guarantee the goods being shipped.

Services may include:

  • Receiving parcels at our facility

  • Consolidation, repacking, labeling, and basic handling

  • Arranging shipment through third-party carriers/couriers

  • Providing tracking and status updates when available

  • Assisting with documentation as requested (where applicable)

Third-party carriers. Actual transportation may be performed by third-party carriers, couriers, airlines, shipping lines, warehouses, or customs brokers. Their terms, rules, and limitations may apply in addition to these Terms.

3) Quotes, Pricing, and Surcharges

Any quote is an estimate only unless stated as “final” in writing. Pricing may change due to factors such as:

  • carrier rate changes, fuel surcharges, peak season surcharges

  • dimensional weight, oversize/overweight handling

  • remote area delivery, address correction, re-delivery

  • storage fees, special handling, additional packaging

  • customs duties/taxes and inspection fees (if applicable)

You authorize us to adjust charges to reflect actual shipment characteristics and carrier assessments.

4) Customer Responsibilities

You are responsible for:

  • providing correct sender/recipient details and delivery address

  • ensuring your items are lawful and allowed for shipment

  • providing truthful, accurate descriptions and values for customs declarations

  • supplying required documents (invoice, packing list, IDs where applicable)

  • paying all fees, including shipping, service, and any additional charges incurred

You agree not to submit false, misleading, or incomplete information.

5) Prohibited and Restricted Items

You must not ship prohibited items. Restricted items may require special approval, packaging, or documentation and may be refused at our discretion.

Examples of prohibited or commonly restricted items include (non-exhaustive):

  • weapons, ammunition, explosives, replicas

  • illegal drugs, controlled substances

  • hazardous materials, flammables, corrosives, pressurized containers

  • perishables (including certain foods/meat), live animals

  • items infringing intellectual property or otherwise unlawful

  • lithium batteries may be restricted depending on route and carrier

Refusal / disposal / return. If prohibited or non-compliant goods are received, we may refuse handling, return to sender, surrender to authorities, or arrange disposal. All related costs, penalties, and liabilities are your responsibility.

6) Customs, Duties, Taxes, and Compliance

International shipments may be subject to customs inspection, duties, taxes, and other charges. Unless otherwise agreed in writing:

  • You are responsible for all duties, taxes, and compliance obligations.

  • Delays caused by customs processing, inspections, holds, or documentation issues are outside our control.

  • You authorize us (and/or relevant partners) to submit declarations and paperwork based on information you provide.

You acknowledge that incorrect or undervalued declarations may result in fines, seizure, delays, or additional costs.

7) Packaging and Inspection

We may repackage or reinforce packaging if we believe it is necessary for safer handling or to meet carrier requirements. You authorize reasonable handling such as consolidation, repacking, and labeling.

We may inspect shipments where required by law, carrier rules, safety concerns, or suspected non-compliance.

8) Delivery Times; No Guarantee

All delivery times are estimates only. We do not guarantee delivery dates or transit times. Delays may occur due to:

  • weather, peak season, service disruptions

  • customs inspections/holds

  • carrier capacity, routing changes, or operational issues

  • incorrect address or recipient unavailability

9) Loss, Damage, and Limitation of Liability

To the maximum extent permitted by law:

  • Shanghai Express is not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits or business interruption).

  • Our responsibility is limited to the extent directly caused by our proven negligence and subject to the limitations below.

  • Carrier liability limits, tariffs, or international conventions may apply and may further limit recovery.

Maximum liability. Unless otherwise required by law or agreed in writing, our maximum liability for loss or damage to a shipment is limited to the lesser of:

  1. the actual direct loss proven, or

  2. CAD $100 per shipment (or the minimum amount required by applicable law),
    and in all cases excludes consequential losses.

No liability for (non-exhaustive):

  • fragile items not properly protected

  • damage due to inadequate original packaging or hidden defects

  • seizures, confiscations, or delays by customs/authorities

  • force majeure events (see Section 14)

10) Claims Procedure

If you believe an item is lost or damaged, you must:

  • notify us within 7 days of delivery (or expected delivery for non-delivered shipments), and

  • provide supporting evidence (photos of outer box and inner packaging, item photos, invoices, tracking details).

Failure to report within the required time may result in denial of the claim.

11) Insurance (Optional)

Unless explicitly purchased and confirmed in writing, shipments are not insured by Shanghai Express. If insurance is available and you request it, coverage terms, exclusions, and claim procedures will be governed by the insurer and policy.

12) Storage, Unclaimed Shipments, and Abandonment

If we provide receiving/warehouse services, storage terms may apply:

  • We may charge storage fees after any free-storage period (if offered).

  • If a shipment remains unclaimed or unpaid for 30 days (or longer if required by law), we may treat it as abandoned.

  • Abandoned items may be returned, disposed of, or otherwise handled to recover costs.

You are responsible for all storage, handling, return, and disposal costs.

13) Payments and Chargebacks

All fees are payable as instructed (e.g., before release/dispatch). If a payment is reversed or charged back, you remain responsible for the full amount plus any bank/payment processing fees and associated costs.

14) Force Majeure

We are not responsible for failure or delay due to events beyond our reasonable control, including natural disasters, acts of government, customs actions, strikes, power outages, network failures, pandemics, or carrier disruptions.

15) Intellectual Property

All Website content (text, logos, graphics, design) is owned by or licensed to Shanghai Express and may not be copied or used without written permission, except as allowed by law.

16) Privacy

Our collection and use of personal information is described in our Website Privacy Policy. By using the Website or Services, you acknowledge you have reviewed it.

17) Third-Party Links

The Website may contain links to third-party websites. We are not responsible for third-party content, policies, or practices.

18) Changes to These Terms

We may update these Terms from time to time by posting an updated version on the Website with a new effective date. Continued use of the Website or Services after changes means you accept the updated Terms.

19) Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any disputes will be brought in the courts located in British Columbia, Canada, unless otherwise required by law.
